Member Code of Conduct

This Member Code of Conduct (the "Code") sets the standard of behavior expected of every NxGeN member, applicant, guest, advisor, and partner across the NxGeN platform at nxgen.club, in our messaging and community spaces, and at our in-person and virtual events (collectively, the "Services"). The Code is published by NXGEN Holdings LLC, a Florida limited liability company ("NxGeN," "we," "us," or "our"), and is incorporated by reference into our Terms of Service. Capitalized terms used but not defined here have the meanings given in the Terms of Service.
NxGeN is built on trust. The Code translates that trust into specific, enforceable expectations. By using the Services, you agree to follow it.
1. Our Standard
You agree to treat every member, guest, facilitator, partner, advisor, and member of the NxGeN team with respect, good faith, and discretion. You will conduct yourself in a way that strengthens, rather than exploits, the trust the community is built on.
2. Expected Behavior
You are expected to:
- engage with others honestly and in good faith;
- respect the confidentiality commitments in Section 5 (Confidentiality and the "Vegas Rule") of the Terms of Service, including the rule that what is shared in a Peer Advisory Circle stays in that Circle;
- respect each member's stated trust-layer settings and privacy preferences, and treat another member's identity, NxGeN affiliation, family office affiliation, and non-public profile information as confidential;
- give and receive feedback constructively;
- represent your own background, credentials, and affiliations accurately;
- secure the consent of others before photographing, recording, quoting, or naming them; and
- promptly report conduct that violates this Code.
3. Prohibited Behavior
You will not:
3.1 Harassment and Hostility
- harass, intimidate, bully, stalk, threaten, or demean any person;
- engage in unwelcome sexual attention, sexual misconduct, or any form of sexual harassment;
- use hate speech or discriminate against any person on the basis of race, ethnicity, national origin, religion, gender, gender identity, sexual orientation, age, disability, or any other protected characteristic; or
- incite or encourage any of the above.
3.2 Breach of Trust and Confidentiality
- disclose, repeat, post, record, or share outside its setting the identity, statements, or sensitive personal, family, or financial information of any other member, except with that member's express permission;
- disclose another member's membership status or attendance at private gatherings without permission;
- speak publicly on behalf of, or about specific members of, NxGeN without our prior written authorization; or
- record any Circle, session, dinner, or Event without our prior written consent and the consent of those present.
3.3 Misuse of the Community
- send unsolicited promotional, sales, fundraising, or commercial messages to other members;
- pitch investments, raise capital, or solicit business through direct messaging without an existing relationship and the recipient's invitation;
- send mass or broadcast messages to multiple members;
- scrape, export, copy, mirror, or systematically extract member directory information, profile data, or other member content;
- compile, sell, license, or share lists of members; or
- misrepresent NxGeN's endorsement of any investment, deal, person, or organization.
3.4 Unlawful and Harmful Conduct
- use the Services to violate any law, regulation, sanctions program, or third-party right;
- post or transmit content that is unlawful, defamatory, obscene, sexually explicit, hateful, harassing, threatening, or that exploits or endangers a minor;
- distribute malware, spam, or other harmful code; or
- interfere with, disrupt, or attempt to gain unauthorized access to the Services, their security, or other members' use of them.
4. Conduct at Events
In addition to the rules above, at in-person and virtual Events you will:
- follow the lawful instructions of NxGeN staff, facilitators, and venue personnel;
- not attend while impaired in a way that endangers yourself or others, and consume alcohol responsibly where it is served;
- respect venue rules, local laws, and the safety of every participant; and
- assume responsibility for your own fitness to participate in any activity, as described in Section 9 of the Terms of Service.
5. Guests
If you bring a guest to an Event or introduce a guest to the community, you are responsible for your guest's conduct. Your guest is bound by this Code, and a violation by your guest is treated as a violation by you.
6. Reporting a Concern
If you experience or witness conduct that violates this Code, report it promptly to conduct@nxgen.club or support@nxgen.club. For conduct at an Event that threatens someone's immediate safety, contact NxGeN staff on site or local emergency services first.
We take reports seriously. We will review each report, may follow up for additional information, and will handle it with discretion. We will not tolerate retaliation against anyone who makes a good-faith report or participates in a review.
7. Enforcement
We may take any action we consider appropriate in response to a violation of this Code, in our reasonable judgment and consistent with the Terms of Service. Possible actions include:
- a warning;
- removal or restriction of content;
- removal from a Circle, Network, conversation, or Event without refund or credit;
- suspension of access to some or all of the Services; and
- termination of membership.
We may take these actions with or without prior notice, depending on the severity of the conduct and the safety of the community. The confidentiality and other obligations that survive termination under the Terms of Service continue to apply after any enforcement action.
8. Relationship to the Terms of Service
This Code supplements, and does not replace, the Terms of Service and our other policies. Where this Code and the Terms of Service address the same subject, both apply, and the stricter standard controls. Nothing in this Code limits any right or remedy available to NxGeN under the Terms of Service or applicable law.
9. Changes to This Code
We may update this Code from time to time. When we make material changes, we will update the Effective Date above and provide notice through the Services or by email. Your continued use of the Services after the change becomes effective constitutes your acceptance of the updated Code.
